Welcome to Labtree, Inc. ("Labtree", "Company", "we", "us", or "our"). These Terms and Conditions ("Terms", "Agreement") govern your access to and use of our website located at www.labtree.io (the "Site") and our software-as-a-service platform, applications, and related services (collectively, the "Service") provided by Labtree, Inc.

By accessing, browsing, or using the Service, you ("User", "you", or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.


1. Definitions


For purposes of these Terms, the following definitions apply:

  • "Confidential Information" means any proprietary, non-public information including but not limited to scientific data, research protocols, experimental results, chemical formulations, molecular structures, clinical data, business strategies, customer information, financial data, software code, algorithms, and any other information marked or reasonably understood to be confidential.

  • "User Content" means any data, information, text, files, documents, images, software, or other materials that you submit, upload, or transmit to or through the Service.

  • "Personal Information" means information that identifies, relates to, or could reasonably be linked with a particular individual.

  • "De-identified Data" means User Content that has been processed to remove Personal Information and cannot reasonably identify any individual.

  • "Effective Date" means the earlier of: (a) the date you first accept these Terms, or (b) the date you first access or use the Service.


2. Service Description and Access

2.1 Service Overview


Our Service provides cloud-based laboratory management, data analysis, and collaboration tools designed for biotech, pharmaceutical, and life sciences organizations.


2.2 Access Requirements


To access the Service, you must:

  • Have a reliable internet connection

  • Meet minimum technical requirements as specified on our website

  • Register for an account and provide accurate information

  • Be at least 18 years old or have legal capacity to enter binding agreements


2.3 Account Registration


  • You must provide accurate, current, and complete information during registration

  • You are responsible for maintaining the confidentiality of your account credentials

  • You must immediately notify us of any unauthorized use of your account

  • Each account is personal to you and may not be shared with others


3. Acceptable Use

3.1 Permitted Use


You may use the Service solely for legitimate business purposes in accordance with these Terms and applicable laws.


3.2 Prohibited Activities


You agree not to:

  • Use the Service for any unlawful purposes or in violation of any regulations

  • Upload or transmit harmful code, viruses, or malicious software

  • Attempt to gain unauthorized access to our systems or other users' accounts

  • Reverse engineer, decompile, or disassemble any part of the Service

  • Use automated means (bots, scrapers, etc.) to access the Service without permission

  • Share your account credentials or allow others to use your account

  • Interfere with or disrupt the Service's operation

  • Remove or modify any proprietary notices or labels


3.3 Compliance with Laws


You must comply with all applicable laws, regulations, and industry standards, including but not limited to data protection laws, export control regulations, and laboratory safety requirements.


4. User Content and Data Rights

4.1 Your Rights to User Content


You retain ownership of all intellectual property rights in your User Content. However, by using the Service, you grant us certain rights as described below.


4.2 License to User Content


You grant us a worldwide, non-exclusive, royalty-free license to:

  • Store, process, and transmit your User Content as necessary to provide the Service

  • Create backup copies for data protection and recovery purposes

  • Analyze User Content to improve and enhance the Service functionality


4.3 De-identified Data Usage


You grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute De-identified Data for:

  • Service improvement and development

  • Research and analytics

  • Creating aggregated reports and insights

  • Developing new features and capabilities


4.4 Data Security


We implement appropriate technical and organizational measures to protect your User Content, but you acknowledge that no security system is impenetrable.


5. Confidentiality

5.1 Mutual Confidentiality


Both parties may disclose Confidential Information to each other in connection with the Service. Each party agrees to:

  • Maintain Confidential Information in strict confidence

  • Use the same degree of care to protect Confidential Information as used for its own confidential information, but no less than reasonable care

  • Not disclose Confidential Information to third parties without prior written consent

  • Use Confidential Information solely for the purposes contemplated by these Terms


5.2 Exceptions


Confidentiality obligations do not apply to information that:

  • Is or becomes publicly available through no breach of these Terms

  • Was rightfully known prior to disclosure

  • Is rightfully received from a third party without confidentiality restrictions

  • Is independently developed without use of Confidential Information

  • Must be disclosed by law or court order (with reasonable prior notice when possible)


5.3 Survival


Confidentiality obligations survive termination of these Terms for a period of five (5) years.


6. Subscription Plans and Payment

6.1 Subscription Terms


If you subscribe to a paid plan:

  • Fees are due in advance for each billing period

  • Subscriptions automatically renew unless cancelled

  • You authorize us to charge your payment method

  • All fees are non-refundable except as expressly stated


6.2 Payment Methods


You may pay via credit card, ACH transfer, or other approved payment methods. You must keep payment information current and notify us of any changes.


6.3 Fee Changes


We may change subscription fees with thirty (30) days' advance notice. Fee changes will take effect at your next billing cycle.


6.4 Suspension for Non-Payment


We may suspend your access for overdue payments. Service will be restored promptly upon payment of outstanding amounts.


7. Intellectual Property Rights

7.1 Copyright and Website Content


All content on our website and Service, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, software, user interfaces, visual interfaces, photographs, trademarks, service marks, and other materials (collectively, "Labtree Content") is the exclusive property of Labtree and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The compilation, arrangement, and assembly of all content on the Service is the exclusive property of Labtree and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as specifically permitted in these Terms.


7.2 Our Intellectual Property


The Service, including all software, algorithms, methodologies, processes, content, trademarks, service marks, logos, trade names, and other intellectual property, is owned by Labtree or our licensors and protected by applicable laws. All rights not expressly granted herein are reserved by Labtree.


7.3 License to Use Service


We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. This license does not include any right to: (a) resell or make commercial use of the Service or Labtree Content; (b) collect and use any product listings, descriptions, or prices; (c) make derivative use of the Service or Labtree Content; or (d) download or copy account information for the benefit of another merchant.


7.4 Restrictions on Use


You may not remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Labtree Content. You acknowledge that you do not acquire any ownership rights by using the Service or accessing Labtree Content.


7.5 DMCA Compliance


We respect intellectual property rights and expect users to do the same. If you believe that your copyrighted work has been copied and is accessible on the Service in a way that constitutes copyright infringement, please notify us by providing our designated copyright agent with the information specified in the Digital Millennium Copyright Act (DMCA).


7.6 Feedback


Any suggestions, ideas, enhancement requests, feedback, recommendations, or other information you provide about the Service may be used by Labtree without restriction or compensation to you.


8. Third-Party Services and Content

8.1 Third-Party Integrations


The Service may integrate with third-party services. Your use of such services is governed by their respective terms and conditions.


8.2 Third-Party Content


We are not responsible for third-party content accessed through the Service. Your interactions with third parties are solely between you and them.


9. Privacy and Data Protection

9.1 Privacy Policy


Our collection and use of Personal Information is governed by our Privacy Policy, which is incorporated into these Terms by reference.


9.2 Data Processing


You consent to our processing of Personal Information in accordance with our Privacy Policy and applicable data protection laws.


9.3 International Data Transfers


Your data may be transferred to and processed in countries other than your country of residence, including the United States.


10. Term and Termination

10.1 Term


These Terms commence on the Effective Date and continue until terminated in accordance with this section.


10.2 Termination by You


You may terminate these Terms at any time by closing your account or discontinuing use of the Service.


10.3 Termination by Us


We may terminate or suspend your access immediately for:

  • Breach of these Terms

  • Non-payment of fees

  • Illegal or harmful conduct

  • Our business reasons with reasonable notice


10.4 Effect of Termination


Upon termination:

  • Your access to the Service will cease

  • You remain liable for all fees incurred prior to termination

  • You should export your User Content as we may delete it after a reasonable period

  • Sections that by their nature should survive will continue in effect


11. Disclaimers and Limitations

11.1 Service Disclaimers


THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.


11.2 Limitation of Liability


TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) $1,000, OR (B) THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.


11.3 Essential Purpose


These limitations apply even if any remedy fails of its essential purpose.


12. Indemnification


You agree to defend, indemnify, and hold us harmless from claims arising from:

  • Your use of the Service

  • Your User Content

  • Your violation of these Terms

  • Your violation of any third-party rights


13. Dispute Resolution

13.1 Governing Law


These Terms are governed by the laws of the State of Delaware without regard to conflict of law principles.


13.2 Dispute Resolution Process


Any disputes will be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Dover, Delaware, except that either party may seek injunctive relief in court.


13.3 Class Action Waiver


You waive any right to participate in class action lawsuits or class-wide arbitrations.


14. General Provisions

14.1 Entire Agreement


These Terms constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.


14.2 Modifications


We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.


14.3 Severability


If any provision is found invalid or unenforceable, the remainder of these Terms will remain in effect.


14.4 Assignment


You may not assign these Terms without our written consent. We may assign these Terms without restriction.


14.5 Force Majeure


Neither party will be liable for delays or failures due to causes beyond their reasonable control.


14.6 Notices


Notices must be in writing and sent to the addresses specified in your account or our website.
